End User License Agreement

License Grant

Subject to your compliance with this Agreement and timely payment of applicable fees, BrokerOS LLC grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your internal business purposes as a licensed mortgage professional.

This license covers the following tools included in the Platform:

• LenderIQ - Wholesale lender directory and search tool
• RefinanceIQ - Refinance analysis and client presentation tool
• ScenarioIQ - Side-by-side loan scenario comparison tool
• EstimateIQ - Loan Estimate parsing and borrower presentation tool
• Any additional tools or features added to the Platform from time to time

User Eligibility and Account Requirements

To use the Platform, you must:

• Be a licensed mortgage loan originator, mortgage broker, or authorized staff member of a licensed mortgage brokerage
• Be at least 18 years of age
• Have the legal authority to enter into this Agreement on behalf of yourself or your organization
• Maintain a valid, active subscription as required by your selected plan

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify BrokerOS LLC immediately at support@brokerostools.com if you suspect any unauthorized use of your account.

Subscription Plans and Fees

Access to the Platform requires a paid subscription. Current plans are as follows:

• Solo Plan - $79/month (1 user)
• Team Plan - $199/month (up to 5 users)
• Brokerage Plan - $349/month (up to 25 users)
• Enterprise Plan - Custom pricing
• Founding Member Rate - $49/month (locked for life as long as subscription remains active and uninterrupted)

Annual subscriptions are available at a 17% discount. All fees are billed in advance. Failure to pay may result in suspension or termination of access. BrokerOS LLC reserves the right to adjust pricing with 30 days written notice to existing subscribers, except for Founding Members whose rate is locked as described above.

Permitted and Prohibited Use

4.1 Permitted Use

You may use the Platform solely to:

• Research wholesale lenders, loan programs, and guidelines for your brokerage
• Prepare client-facing loan estimates, scenario comparisons, and refinance analyses
• Conduct and document lead intake calls
• Generate AI-assisted loan strategy ideas for internal discussion purposes
• Manage your professional mortgage workflow as a licensed broker or MLO

4.2 Prohibited Use

You may NOT:

• Share your login credentials with anyone outside your authorized subscription tier
• Resell, sublicense, distribute, or otherwise transfer access to the Platform to any third party
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Platform
• Use the Platform to engage in any unlawful activity or in violation of applicable mortgage lending laws and regulations
• Scrape, harvest, or extract lender data, AE contact information, or other Platform content for use outside the Platform
• Use AI-generated outputs as the sole basis for advice given to clients without independent verification
• Attempt to circumvent any security, authentication, or access control mechanism
• Use the Platform in any manner that could damage, disable, or impair the Platform or interfere with other users

AI-Generated Content Disclaimer

The Platform includes AI-powered features, including but not limited to the BOSS Strategy tool in LeadIQ. You acknowledge and agree that:

• AI-generated outputs are provided for informational and discussion purposes only
• AI-generated content does NOT constitute legal, financial, or regulatory advice
• All AI-generated loan strategy suggestions must be independently verified against current lender guidelines, underwriting requirements, and applicable regulations before being shared with or relied upon by clients
• BrokerOS LLC makes no representations or warranties regarding the accuracy, completeness, or fitness for purpose of any AI-generated content
• You, as a licensed professional, are solely responsible for any advice, recommendations, or decisions made in connection with your use of AI-generated content

Data Privacy and Borrower Information

By using the Platform, you may input non-public personal information (NPPI) belonging to your clients, including financial data, credit information, and personal identifiers. You agree that:

• You have obtained all necessary consents from your clients prior to entering their information into the Platform
• You are solely responsible for complying with all applicable privacy laws, including but not limited to the Gramm-Leach-Bliley Act (GLBA), applicable state privacy laws, and any other regulations governing the handling of borrower NPPI
• BrokerOS LLC processes data submitted to the Platform in accordance with its Privacy Policy, available at brokerostools.com/privacy.html
• You will not enter sensitive information that is not necessary for legitimate mortgage origination purposes

BrokerOS LLC uses Supabase for data storage and Anthropic's API for AI features. By using these features, you acknowledge that data may be processed by these third-party providers in accordance with their respective terms of service and privacy policies.

Lender Data and Intellectual Property

The lender directory, AE contact information, and associated data available through LenderIQ are provided for the exclusive use of subscribers and are proprietary to BrokerOS LLC and its data sources. You agree that:

• Lender data is brokerage-specific and siloed - data from one brokerage's configuration will not be shared with other brokerages
• You will not export, copy, or distribute lender data outside the Platform
• All Platform content, features, branding, and underlying technology are the intellectual property of BrokerOS LLC
• Nothing in this Agreement grants you any ownership rights in the Platform or its content

Disclaimer of Warranties

BrokerOS LLC makes no representations regarding the accuracy or completeness of lender information, loan program guidelines, or any other content available through the Platform. Lender guidelines and program availability change frequently and you should always verify directly with the lender or AE.

Limitation of Liability

Indemnification

You agree to indemnify, defend, and hold harmless BrokerOS LLC and its officers, directors, employees, agents, and successors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Platform
• Your violation of this Agreement
• Your violation of any applicable law or regulation
• Any advice, recommendations, or representations you make to clients based on Platform outputs
• Your handling of borrower NPPI or other client data

Term and Termination

This Agreement is effective upon your acceptance and continues until terminated. Either party may terminate this Agreement:

• You may cancel your subscription at any time through your account settings or by contacting support@brokerostools.com
• BrokerOS LLC may suspend or terminate your access immediately for breach of this Agreement, non-payment, or any conduct that BrokerOS LLC determines, in its sole discretion, is harmful to the Platform or other users

Upon termination, your license to use the Platform immediately ceases. Provisions of this Agreement that by their nature should survive termination (including Sections 5, 6, 7, 8, 9, 10, and 13) shall survive.

Modifications to the Agreement

BrokerOS LLC reserves the right to modify this Agreement at any time. We will provide notice of material changes by email to your registered address or by posting a notice within the Platform. Your continued use of the Platform after the effective date of any modification constitutes your acceptance of the updated Agreement.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict of law provisions. Any disputes arising out of or related to this Agreement shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, with proceedings conducted in Michigan. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.

General Provisions

14.1 Entire Agreement

This Agreement, together with the Privacy Policy and Terms of Service available at brokerostools.com, constitutes the entire agreement between you and BrokerOS LLC regarding your use of the Platform.

14.2 Severability

If any provision of this Agreement is found to be unenforceable, the remaining provisions will continue in full force and effect.

14.3 Waiver

Failure by BrokerOS LLC to enforce any provision of this Agreement shall not constitute a waiver of its right to enforce such provision in the future.

14.4 Assignment

You may not assign your rights or obligations under this Agreement without the prior written consent of BrokerOS LLC. BrokerOS LLC may assign this Agreement without restriction.

Acceptance

If you are accepting this Agreement on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to this Agreement. If you do not have such authority, or if you do not agree to these terms, you must not access or use the Platform.

Your acceptance is recorded electronically along with the date and time of your acceptance. This electronic record constitutes a valid and binding agreement between you and BrokerOS LLC.
